Agreement to Terms

By accessing and using Vorion Systems' website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Services Description

Vorion Systems provides remote executive assistance services, including but not limited to:

• Administrative support services
• Content creation and management
• Lead generation services
• Social media management
• Transaction coordination
• Virtual assistant services

Payment Terms and Stripe Integration

Service Delivery

We strive to deliver all services within the agreed timeframes. Service delivery terms include:

• Delivery timelines are estimates and may vary based on project complexity
• Client cooperation and timely provision of required materials are essential for on-time delivery
• We will communicate any potential delays promptly
• Force majeure events may affect delivery schedules

User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Respect intellectual property rights
• Provide timely feedback and approvals when required

Prohibited Uses

You may not use our services for:

• Any unlawful purpose or to solicit others to perform unlawful acts
• Violating any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• Infringing upon or violating our intellectual property rights or the intellectual property rights of others
• Harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating
• Submitting false or misleading information

Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Vorion Systems and its licensors. The service is protected by copyright, trademark, and other laws.

Work products created specifically for clients become the property of the client upon full payment, unless otherwise specified in the service agreement.

Confidentiality

We maintain strict confidentiality regarding all client information and business matters. We will not disclose any confidential information without prior written consent, except as required by law.

Limitation of Liability

In no event shall Vorion Systems, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

Our total liability for any claims arising from or related to this agreement shall not exceed the amount paid by you for the specific service giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Vorion Systems and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the service and provide written notice of termination.

Dispute Resolution

Any disputes arising from these terms or your use of our services will be resolved through:

1. Good faith negotiations between the parties
2. Mediation, if negotiations fail
3. Binding arbitration in accordance with the rules of the American Arbitration Association

Governing Law

These Terms shall be interpreted and governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
